Your agreement with Wardrobe Bud
Introduction
These Terms of Service ("Terms") govern your access to and use of the wardrobebud website, app, and widgets ("Acloset" or the "Service"). Please read these Terms carefully, and contact us if you have any questions.
By accessing or using Acloset, you agree to be bound by these Terms, and our Privacy Policy. If you do not agree to these terms, or any additional terms referenced herein, you must not access Acloset. As we may modify any terms herein at any time, you should periodically visit this page to review all current terms.
Note: This Service is provided to you by wardrobebud ("wardrobebud", "we", "our", or "us").
1. Our Service
wardrobebud is a digital platform that offers a convenient way to digitize and store your clothes, making it easy to keep track of your wardrobe and access your clothes from anywhere. With Acloset, you can also combine outfits, share them with others, and get suggestions for new outfits based on your existing clothes.
In addition to these features, wardrobebud also operates a peer-to-peer marketplace where users can buy and sell clothing items from each other.
Important: When a user purchases items on the platform, the contract for sale is directly between the buyer and the seller, and wardrobebud is not a party to such transactions. However, it is important to note that there are risks involved in dealing with others on the platform, and users are solely responsible for their evaluation of and decisions to use the Service, as well as any actions they take on the Service.
2. Using Acloset
a. Who can use Acloset
You can use wardrobebud only if you can legally form a binding contract with us, and only in compliance with these Terms and all applicable laws. When you create your wardrobebud Account, you must provide us with accurate and complete information.
- Age Restriction: Any use or access by anyone under the age of 13 is not allowed
- You are responsible for maintaining the confidentiality of your login details and any activities that occur under your Account
- If you have any concerns that your Account may have been misused, you should contact us
- Using wardrobebud may include downloading software to your computer, phone, tablet, or other devices. By using Acloset, you agree that we may automatically update that software, and these Terms will apply to any updates
b. Our license to you
Subject to these Terms and our policies, we grant you a limited, non-exclusive, non-transferable, and revocable license to use our Service.
3. Your Contents
a. Posting contents
wardrobebud allows you to post contents, including photos, comments, links, and other materials. Anything that you post or otherwise make available on wardrobebud is referred to as "User Content." You retain all rights in, and are solely responsible for, the User Content you post to Acloset.
- When you submit content to Acloset, you represent and warrant that you own all rights to the content or have permission from the owner to submit it
- The content is intended to be shared with other users on the platform
- wardrobebud may investigate, take legal action, or perform any other necessary actions to manage the service, your content, and your use of the service. This may include preserving information for investigative purposes
b. How wardrobebud Can Use Your Content
You grant wardrobebud Inc. and its affiliated companies and necessary service providers a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, store, display, reproduce, save, modify, adapt, create derivative works from, perform, license, sub-license, and distribute your User Content.
This license is granted for the following purposes:
- Operating, providing, maintaining, securing, and promoting the wardrobebud Service
- Improving and developing current and future wardrobebud services, features, and technologies. This includes analyzing User Content (such as text from chats, uploaded images, and associated metadata generated through features like AI Chat and AI Image Processing tools) to understand usage patterns, enhance service quality, and develop new functionalities. Our use of your personal information within User Content for this purpose is also subject to your consent as described in our Privacy Policy
Note: Nothing in these Terms restricts other legal rights wardrobebud may have to User Content (for example, under other licenses or applicable law). We reserve the right to remove or modify User Content, or change the way it is used in Acloset, for any reason, including User Content that we believe violates these Terms or our policies, with or without notice. However, wardrobebud does not control and is not liable for how other users may use your publicly shared User Content.
c. How long we keep your content
Following the termination or deactivation of your account, or if you remove any User Content from Acloset, we may keep your User Content for a reasonable period of time for backup, archival, or audit purposes. wardrobebud and its users may retain and continue to use, store, display, reproduce, modify, create derivative works, perform, and distribute any of your User Content that other users have stored or shared on Acloset.
d. Feedback you provide
We value hearing from our users, and are always interested in learning about ways we can make wardrobebud better. If you choose to submit comments, ideas or feedback, you agree that we are free to use them without any restriction or compensation to you. Accepting your submission does not mean wardrobebud will waive any rights to use similar or related feedback previously known to Acloset, or developed by its employees, or obtained from sources other than you.
4. Subscription
a. Subscription payment
You have the option to upgrade your wardrobebud account with additional closet space by subscribing plans.
- Your subscription fee will be processed via the app store linked to your device (like the Apple App Store or Google Play)
- To subscribe, you must keep a valid payment method registered with the app store
- You will be charged in advance on a recurring basis, based on the Subscription plan you choose
- Your Subscription will automatically renew at the end of each billing cycle under the same conditions unless you cancel it or wardrobebud cancels it
b. How to Cancel Your Subscription
Cancelling your subscription is possible anytime through your device's app store. A cancellation before the end of the current billing cycle keeps your subscription active until its conclusion, and you won't be billed for the next cycle.
However, cancelling after a billing cycle begins means you won't get a refund for that period.
c. Upgrading Your Subscription
You're free to switch to higher level of subscription plan at any time. While your account will be upgraded right after you switched to the higher plan, the policy for remaining period depends on the payment method you made.
- Apple App Store: To upgrade your plan, you'll need to pay the full amount of the new plan first. Your new subscription period will begin, and you'll be refunded the old subscription fee for the remainder of the period.
- Google Play Store: To upgrade your plan, you must first pay for the new plan for the remainder of the subscription period. The length of your subscription will not change, and you will be charged for the entire subscription period at the time of your next payment.
d. Downgrading Your Subscription
You can request a downgrade at any time. Your current plan will remain for the duration of your current subscription, and the plan you downgraded to will begin in your next subscription period. No refunds will be given for fees already paid for your current Subscription period.
e. Cancellation of Subscriptions
You can cancel your Subscription renewal through Acloset's settings page and the Application Store. No refunds will be given for fees already paid for your current Subscription period, and you will maintain access to the Service until the end of that period.
f. Changes to Subscription Fees
wardrobebud may change Subscription fees at its discretion. Any changes will take effect after the current Subscription period ends.
wardrobebud will notify you in advance of any fee changes through the app store you made payment, allowing you the opportunity to cancel your Subscription before the change takes effect.
g. Refund Policy
wardrobebud follows the app store's policy for refunds. Contact the Application Store directly for refund requests.
5. Credits
a. What Credits Are
Credits are digital items you can obtain and use within the wardrobebud application. They represent a limited permission (a license) granted by wardrobebud Inc., allowing you to access certain features or content within wardrobebud only. This license is non-exclusive, non-transferable, non-sublicensable, and can be revoked by wardrobebud.
You understand and agree that Credits:
- Have no cash value, are not real money, and cannot be exchanged or redeemed for cash, real currency, or any value outside of Acloset
- Cannot be transferred, sold, gifted, or traded between users or accounts
- Do not constitute your personal property. You have no ownership rights over Credits
Warning: Any attempt to sell, trade, transfer, or exchange Credits outside of the methods expressly permitted by wardrobebud within the wardrobebud service is strictly prohibited. Violating this restriction may result in the suspension or termination of your account and the forfeiture of any Credits associated with your account, at wardrobebud's sole discretion.
b. Acquiring Credits
i. Purchasing Credits
You can acquire Credits through In-App Purchases (IAP) using your account with the relevant application platform (e.g., Apple App Store or Google Play Store). These purchases are subject to the payment terms and conditions of that platform provider. You are responsible for all charges made through your account. If you are under the age of 18 (or the age of legal majority in your jurisdiction), you must have your parent's or legal guardian's permission to purchase Credits.
ii. Other Ways to Acquire Credits
wardrobebud may offer other ways to obtain Credits. wardrobebud reserves the right to introduce, modify, or discontinue any such methods for obtaining Credits at any time without notice. Credits obtained through methods other than purchase ("Non-Purchased Credits") may be subject to different rules, including potential expiration dates or revocation by wardrobebud at any time, as determined solely by wardrobebud.
c. Using Credits
Credits can be redeemed within wardrobebud to access specific features, services, or digital content offered by wardrobebud. Examples include paying for extra AI Chat messages or saving images generated by AI tools like 'Beautify' or 'Smart Detector'.
wardrobebud reserves the right to decide and change which features or content can be accessed with Credits, and how many Credits are needed for any transaction, at any time, with or without prior notice. When you use Credits, they are immediately deducted from your account balance.
d. Refund Policy
i. Purchase Refunds
All purchases of Credits are final and non-refundable, except where required by law or the specific refund policies of the platform provider (Apple App Store or Google Play Store) used for the purchase. If you seek a refund for the initial purchase of Credits, you must contact the platform provider directly. wardrobebud Inc. does not process refunds for these initial purchase transactions.
ii. No Refunds for Used Credits
Regardless of any potential refund eligibility for the initial purchase from the platform provider, once you use Credits within wardrobebud to access a feature, service, or content (e.g., saving an AI image), that use is final. Used Credits are non-refundable from wardrobebud.
e. Loss upon Account Termination
If your account is terminated or closed for any reason, any remaining Credits in your account may be forfeited without any compensation or refund, unless required by applicable law.
6. Artificial Intelligence (AI) Features
a. Service Description
wardrobebud may offer features powered by artificial intelligence ("AI Features"), such as the AI Chat agent for fashion advice and AI Image Processing tools ('Beautify', 'Smart Detector'). These features utilize AI models to generate responses or process content based on your input.
b. User Input and Content
Your use of AI Features may involve providing input, such as text messages or images ("User Input"). Your User Input is considered User Content, and your grant of rights to wardrobebud for using this User Content is governed by Section 3 ("Your Content") of these Terms.
c. AI-Generated Output
i. Nature of Output
You acknowledge that outputs generated by AI Features (e.g., chat responses, processed images, suggestions) are generated by an AI system. They are provided for informational or entertainment purposes only.
ii. Disclaimer of Warranties
AI Features and their outputs are provided "as is" and "as available." wardrobebud specifically disclaims any warranties, express or implied, regarding the accuracy, completeness, reliability, suitability, timeliness, or non-infringement of AI-generated outputs. Outputs may contain errors, biases, or inaccuracies.
iii. Not Professional Advice
Outputs from AI Features, including the AI Chat, do not constitute professional fashion consulting, or any other type of professional advice (e.g., legal, financial). You should not rely solely on AI-generated outputs for making decisions. wardrobebud is not responsible for any actions taken based on AI outputs.
d. Ownership of AI-Generated Images
"AI-Generated Image" means all visual outputs generated based on User Uploaded Content through artificial intelligence technology within the Service.
Important: All intellectual property rights, including copyright, in and to AI-Generated Images are exclusively vested in wardrobebud. What we provide to the Member is not the AI-Generated Image file itself, but a limited right to use such image within the App in accordance with these Terms.
wardrobebud grants the Member a license to view and utilize AI-Generated Images within the Service solely for personal and non-commercial purposes. Sharing AI-Generated Images externally is permitted on a limited basis.
The Member may perform the following acts:
- Viewing AI-Generated Images within the Service
- Modifying AI-Generated Images using editing features provided by us within the Service (provided that rights to such modified images are also subject to this Article)
- Creating and saving content utilizing AI-Generated Images using features provided by us within the Service, such as outfit making
- Sharing with other Members within the Service using features provided by us within the Service
- Posting or sharing AI-Generated Images or Service screen captures containing AI-Generated Images outside the Service for personal and non-commercial purposes
The Member shall not perform the following acts without wardrobebud's permission:
- Unauthorizedly copying, altering, modifying, editing, or creating derivative works based on AI-Generated Images using methods other than the features provided within the Service
- Selling, renting, leasing, or otherwise commercially exploiting AI-Generated Images or content utilizing them in any form (including all direct or indirect for-profit activities such as advertising, marketing, product manufacturing, or service sales)
- Falsely representing AI-Generated Images as the Member's own or a third party's original creation, or otherwise misrepresenting their origin
- Using AI-Generated Images to develop or provide services that compete with our business
- Using AI-Generated Images in connection with or for the purpose of any content that is illegal, infringes upon the rights of others, defamatory, obscene, violent, discriminatory, or otherwise contrary to public order and good morals, or is otherwise inappropriate
- Any other act that infringes wardrobebud's intellectual property rights or interferes with the normal operation of the Service
We may use AI-Generated Images for reasonable business purposes, including but not limited to providing, operating, maintaining, and improving the Service, developing new features and services, training and enhancing AI models, statistical analysis, complying with legal obligations, enforcing these Terms, and maintaining the security of the Service.
Disclaimer: The Member acknowledges that AI-Generated Images may not accurately reflect actual clothing or styles and must be used at the Member's own discretion and responsibility.
e. User Obligations
When using AI Features, in addition to your obligations under Section 13 ("User Obligation"), you agree not to:
- Use the features to generate or attempt to generate content that is illegal, harmful, harassing, infringing, or otherwise violates our content policies
- Attempt to discover the underlying algorithms, models, or prompts used by the AI Features
- Circumvent any safety filters or safeguards implemented within the AI Features
- Use automated means (e.g., bots, scripts) to interact with the AI Features in a way that disrupts or places an unreasonable load on the Service
- Use the features for any purpose that infringes upon the rights of others
- For AI Features that may allow previewing results before finalization (such as certain AI Image Processing features), attempt to save, copy, screenshot, or otherwise capture or use the previewed output in any manner without completing the required action (e.g., spending Beans as described in Section 5) to obtain the final authorized result
f. Limitation of Liability
Your use of AI Features is subject to the limitations of liability set forth in Section 15 ("Limitation of liability") of these Terms.
7. Security
We care about the security of our users. While we work to protect the security of your content and account, wardrobebud cannot guarantee that unauthorized third parties will not be able to defeat our security measures. Please notify us immediately of any compromise or unauthorized use of your account.
8. Third Party Services and Materials
wardrobebud may display, include or make available third-party content (including data, information, applications and other products services) or provide links to third-party websites or services ("Third Party Services"). You acknowledge and agree that wardrobebud shall not be responsible for any Third Party Services, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect thereof. wardrobebud does not assume and shall not have any liability or responsibility to you or any other person or entity for any Third Party Services. Third Party Services and links thereto are provided solely as a convenience to you and you access and use them entirely at your own risk and subject to such third parties' terms and conditions.
9. Intellectual Property Rights
wardrobebud and its licensors own all right, title and interest in and to the Service, including all intellectual property rights therein. The Service is protected by copyright, trademark, and other laws. Nothing in these Terms gives you a right to use the wardrobebud name or any of the wardrobebud trademarks, logos, domain names, and other distinctive brand features. Any feedback, comments, or suggestions you may provide regarding wardrobebud or the Service is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you.
10. Infringement Policy
wardrobebud respects the intellectual property rights of others and expects its users to do the same. It is wardrobebud's policy, in appropriate circumstances and at its discretion, to disable and/or terminate the accounts of users who repeatedly infringe or are repeatedly charged with infringing the copyrights or other intellectual property rights of others. In accordance with the Digital Millennium Copyright Act of 1998, the text of which may be found on the U.S. Copyright Office website at http://www.copyright.gov/legislation/dmca.pdf, wardrobebud will respond expeditiously to claims of copyright infringement committed using the wardrobebud service and/or the wardrobebud website (the "Site") if such claims are reported to wardrobebud's Designated Copyright Agent identified in the sample notice below.
11. Purchase and Sale Transactions
wardrobebud provides a platform for users to buy and sell clothing items. The following terms apply to all transactions:
Transaction Responsibility: All purchases and sales are transactions directly between users. wardrobebud is not a party to these transactions and does not guarantee the quality, authenticity, or condition of items.
Payment Processing: Payments are processed through third-party payment processors. wardrobebud does not store or have access to your payment information.
Item Descriptions: Sellers are responsible for providing accurate descriptions and photos of items. Buyers should carefully review item details before purchasing.
Shipping and Delivery: Sellers are responsible for shipping items to buyers. Delivery times and methods are determined by the seller.
Returns and Refunds: Return and refund policies are determined by individual sellers. wardrobebud does not guarantee refunds.
Disputes: Any disputes between buyers and sellers should be resolved directly between the parties. wardrobebud may provide limited assistance but is not obligated to mediate disputes.
Prohibited Items: Users may not sell items that are illegal, counterfeit, or violate our community guidelines.
Fees: wardrobebud may charge fees for certain transactions. All applicable fees will be clearly disclosed before completing a transaction.
Taxes: Users are responsible for any applicable taxes on their transactions. wardrobebud does not collect or remit taxes on behalf of users.
Communication: Buyers and sellers should communicate through the wardrobebud platform to maintain records of their interactions.
Safety: Users should exercise caution when meeting in person for transactions. Consider meeting in public places and bringing a friend if necessary.
12. Service Operation and Termination
wardrobebud reserves the right to modify, suspend, or discontinue the Service at any time, with or without notice. We may also terminate or suspend your account if you violate these Terms or engage in behavior that we determine is harmful to other users or the Service.
Important: Upon termination of your account, you may lose access to your content, including photos, outfits, and other data stored in the Service. We recommend backing up any important content before termination.
You may terminate your account at any time by contacting us or using the account deletion feature in the app settings. Upon termination, these Terms will no longer apply to you, except for provisions that by their nature should survive termination.
13. User Obligation
As a user of wardrobebud, you agree to comply with the following obligations:
Accurate Information: Provide accurate and complete information when creating your account and using the Service.
Account Security: Maintain the security of your account credentials and notify us immediately of any unauthorized access.
Respectful Behavior: Treat other users with respect and courtesy. Harassment, bullying, or abusive behavior is not tolerated.
Content Guidelines: Only upload content that you own or have permission to use. Do not upload inappropriate, offensive, or illegal content.
Privacy Respect: Respect the privacy of other users. Do not share personal information about others without their consent.
No Spam: Do not send unsolicited messages, spam, or engage in any form of unwanted communication.
No Fraud: Do not engage in fraudulent activities, including creating fake accounts or misrepresenting items for sale.
Compliance with Laws: Use the Service in compliance with all applicable local, state, national, and international laws and regulations.
No Reverse Engineering: Do not attempt to reverse engineer, decompile, or disassemble the Service or any part of it.
No Automated Access: Do not use automated systems, bots, or scripts to access the Service without permission.
Report Violations: Report any violations of these Terms or suspicious activity to wardrobebud support.
Age Verification: If you are under 18, ensure you have parental consent to use the Service and comply with all age-related restrictions.
Payment Responsibility: Pay all fees and charges associated with your use of the Service in a timely manner.
Data Accuracy: Keep your profile information and item listings accurate and up-to-date.
No Impersonation: Do not impersonate other users, celebrities, or any other person or entity.
Respect Intellectual Property: Do not infringe on the intellectual property rights of others, including copyrights, trademarks, and patents.
No Malicious Software: Do not upload or distribute viruses, malware, or any other malicious software.
Service Integrity: Do not attempt to disrupt, damage, or interfere with the Service or its security features.
Cooperation: Cooperate with wardrobebud in any investigation of violations of these Terms or applicable laws.
Warning: Violation of any of these obligations may result in immediate suspension or termination of your account, and may also result in legal action.
14. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WARDROBEBUD EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WARDROBEBUD MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WARDROBEBUD, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE. UNDER NO CIRCUMSTANCES WILL WARDROBEBUD BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.
16. Arbitration
a. Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and shall take place in the state where wardrobebud is incorporated.
b. Exceptions
Either party may seek injunctive relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
17. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the state where wardrobebud is incorporated, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within that state for the resolution of any disputes arising out of or relating to these Terms or the Service.
18. General Terms
a. Entire Agreement
These Terms constitute the entire agreement between you and wardrobebud and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
b. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
c. Waiver
No waiver by wardrobebud of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
d. Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without wardrobebud's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void.
e. Force Majeure
wardrobebud shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature or acts of God, acts of war, terrorism, labor disputes, or any other cause which is beyond the reasonable control of wardrobebud.
f. Notices
Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms, will be in writing and given by wardrobebud via email or by posting to the Service.
